Please read these Terms of Service ("Terms") carefully before using the BulkMarketAI platform. By creating an account, accessing, or using any part of the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. DEFINITIONS

"Agreement" means these Terms of Service, together with our Privacy Policy, all of which are incorporated herein by reference.

"Company," "we," "us," or "our" means BulkMarketAI LLC, a Florida Limited Liability Company.

"Service" means the BulkMarketAI web-based software-as-a-service platform, including all features, tools, APIs, and content made available through bulkmarketai.com or related domains.

"Customer," "you," or "your" means the business entity or authorized representative that accesses or uses the Service.

"Customer Data" means all data, content, inventory listings, contact information, and other materials submitted by the Customer to the Service.

"Subscription" means a paid plan granting access to the Service on a monthly recurring basis.

"Credits" means the platform credits allocated to a Customer account for use of AI-powered features during a free trial or paid plan.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 Business Use Only

The Service is intended solely for use by businesses and their authorized representatives. By using the Service, you represent and warrant that you are accessing the Service on behalf of a legitimate business entity and that you have the authority to bind that entity to these Terms.

2.2 Account Creation

To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

2.3 Age and Authority

You represent that you are at least 18 years of age and have the legal authority to enter into this Agreement on behalf of the business you represent.

2.4 Account Accuracy

You agree to keep your account information accurate and up to date. BulkMarketAI reserves the right to suspend or terminate accounts with inaccurate, false, or outdated information.

3. THE SERVICE

3.1 Description

BulkMarketAI is a web-based SaaS platform designed to help small businesses — including dealers of portable buildings, ATVs, boats, and other physical goods — automate and optimize their online marketing and inventory listings using artificial intelligence.

3.2 Service Availability

We strive to maintain Service availability but do not guarantee uninterrupted or error-free access. The Service may be subject to scheduled maintenance, updates, or downtime. We will endeavor to provide advance notice of planned maintenance when practicable.

3.3 Modifications to the Service

BulkMarketAI reserves the right to modify, enhance, discontinue, or add features to the Service at any time, with or without notice. We will make reasonable efforts to notify Customers of material changes that affect existing functionality.

3.4 Third-Party Integrations

The Service may integrate with or link to third-party platforms, marketplaces, or services. BulkMarketAI is not responsible for the availability, accuracy, or practices of such third parties. Your use of third-party services is governed by their respective terms and policies.

4. FREE TRIAL AND CREDITS

4.1 Credit-Based Free Trial

BulkMarketAI offers a credit-based free trial that allows prospective Customers to access the Service without providing payment information. Upon account creation, a set number of Credits will be allocated to your account.

4.2 Credit Usage

Credits are consumed as you use AI-powered features of the Service. The rate of Credit consumption varies by feature type and usage volume. Your free trial remains active until your Credit balance reaches zero.

4.3 No Credit Card Required for Trial

No credit card or payment information is required to begin your free trial. Credits are non-transferable, have no cash value, and expire upon the earlier of (a) depletion of the Credit balance or (b) termination of the trial account.

4.4 Conversion to Paid Subscription

Upon depletion of your trial Credits, you may upgrade to a paid Subscription to continue using the Service. Trial accounts that are not converted to paid Subscriptions may be deactivated and Customer Data may be deleted after a grace period of thirty (30) days.

5. ACCEPTABLE USE

5.1 Permitted Use

You may use the Service solely for your internal business purposes and in accordance with these Terms and all applicable laws and regulations.

5.2 Prohibited Conduct

You agree not to:

(a) Use the Service to send spam, unsolicited communications, or messages that violate the CAN-SPAM Act, TCPA, or other applicable anti-spam laws;

(b) Use the Service to distribute malware, viruses, or harmful code;

(c) Attempt to gain unauthorized access to the Service, servers, or related systems;

(d) Reverse engineer, decompile, or disassemble any part of the Service;

(e) Resell, sublicense, or otherwise commercially exploit the Service without written authorization;

(f) Use the Service to engage in fraudulent, deceptive, or illegal activities;

(g) Violate any third-party platform terms by using Service outputs;

(h) Scrape, crawl, or harvest data from the Service using automated means; or

(i) Use the Service in any manner that could damage, disable, or impair the Service or interfere with other users.

5.3 Compliance with Laws

You are solely responsible for ensuring that your use of the Service, and all marketing activities conducted using the Service, comply with all applicable federal, state, local, and international laws and regulations, including advertising standards, consumer protection laws, and platform-specific policies of any marketplace where your listings appear.

6. INTELLECTUAL PROPERTY

6.1 Company IP

The Service, including all software, algorithms, designs, text, graphics, interfaces, and other content created by BulkMarketAI, is owned by BulkMarketAI LLC and protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership interest in the Service or Company IP.

6.2 License to Use

Subject to your compliance with these Terms and payment of applicable fees, BulkMarketAI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your Subscription term solely for your internal business purposes.

6.3 Customer Data Ownership

You retain full ownership of all Customer Data you submit to the Service. By using the Service, you grant BulkMarketAI a limited, non-exclusive license to access, process, and use your Customer Data solely as necessary to provide and operate the Service.

6.4 Anonymized Data

BulkMarketAI may collect and use anonymized, aggregated data derived from Customer usage of the Service for the purpose of improving and developing the Service. Such anonymized data will not identify you or your business and will not include any personally identifiable information.

6.5 Feedback

If you provide feedback, suggestions, or ideas regarding the Service, you grant BulkMarketAI a royalty-free, perpetual, irrevocable license to use such feedback without restriction or compensation to you.

7. PAYMENT AND BILLING

7.1 Subscriptions and Pricing

Paid subscriptions are billed monthly through our payment processor, Stripe. Current plans, pricing, and feature tiers are published at https://bulkmarketai.com/subscribe and may be updated from time to time.

7.2 Auto-Renewal

Your subscription will automatically renew each month unless you cancel before your renewal date. By subscribing, you authorize BulkMarketAI to charge your payment method on file each month at the then-current subscription price until you cancel.

7.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@bulkmarketai.com. Cancellation takes effect at the end of your current paid billing period. You will not be charged for subsequent billing periods after cancellation is processed.

7.4 Refunds

All subscription fees are non-refundable once a monthly billing period has begun and payment has been processed, except where required by law or at our sole discretion for documented billing errors attributable to BulkMarketAI.

7.5 Failed Payments

If your payment method fails, we may retry the charge. If payment is not received within seven (7) days, your account may be suspended until payment is resolved.

8. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, BULKMARKETAI LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

BULKMARKETAI DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

9. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BULKMARKETAI LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL BULKMARKETAI'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS PAID BY YOU TO BULKMARKETAI IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless BulkMarketAI LLC, its members, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your Customer Data; (d) your violation of any applicable law or regulation; or (e) your violation of any third-party rights.

11. TERMINATION

11.1 Termination by Customer

You may cancel your Subscription at any time through your account settings. Upon cancellation, your access to the Service will continue through the end of your current paid billing period, after which your account will be downgraded or deactivated.

11.2 Termination by BulkMarketAI

BulkMarketAI reserves the right to suspend or terminate your account immediately, without notice or liability, if you violate these Terms, engage in fraudulent activity, or if required by law.

11.3 Effect of Termination

Upon termination, your license to use the Service ceases immediately. You remain responsible for all fees accrued prior to termination. BulkMarketAI may delete your Customer Data thirty (30) days after termination unless otherwise required by law.

12. AI-GENERATED CONTENT

12.1 Nature of AI-Generated Content

BulkMarketAI uses artificial intelligence and machine learning technologies to generate, suggest, optimize, and modify content, including but not limited to inventory listings, product descriptions, marketing copy, pricing suggestions, and other business content ("AI-Generated Content"). You acknowledge and agree that AI-Generated Content is produced by automated systems and may contain errors, inaccuracies, omissions, outdated information, or content that is inappropriate for your specific business context.

12.2 Customer Responsibility to Review

YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, VERIFYING, AND APPROVING ALL AI-GENERATED CONTENT BEFORE PUBLISHING, DISTRIBUTING, OR OTHERWISE USING SUCH CONTENT IN ANY MANNER. BulkMarketAI strongly recommends that you carefully review all AI-Generated Content for accuracy, completeness, compliance with applicable laws, and suitability for your intended use prior to publication. You must not publish or distribute AI-Generated Content without first confirming that it accurately represents your products, services, and business information.

12.3 No Warranty on AI Output

BULKMARKETAI MAKES NO WARRANTY, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, SUITABILITY, OR FITNESS FOR ANY PURPOSE OF ANY AI-GENERATED CONTENT. AI-Generated Content is provided as a tool to assist your workflow and does not constitute professional advice of any kind, including legal, financial, tax, or regulatory advice.

12.4 Limitation of Liability for AI Content

BULKMARKETAI SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, CLAIM, LIABILITY, PENALTY, FINE, OR EXPENSE OF ANY KIND ARISING OUT OF OR RELATED TO: (A) YOUR USE OR RELIANCE ON ANY AI-GENERATED CONTENT WITHOUT ADEQUATE REVIEW; (B) ANY ERRORS, INACCURACIES, OR OMISSIONS IN AI-GENERATED CONTENT; (C) ANY THIRD-PARTY CLAIMS ARISING FROM AI-GENERATED CONTENT YOU HAVE PUBLISHED; (D) ANY MARKETPLACE VIOLATIONS, ACCOUNT SUSPENSIONS, CONSUMER COMPLAINTS, OR REGULATORY ACTIONS RESULTING FROM AI-GENERATED CONTENT; OR (E) ANY LOSS OF BUSINESS, REVENUE, OR GOODWILL ATTRIBUTABLE TO AI-GENERATED CONTENT. THIS LIMITATION APPLIES REGARDLESS OF WHETHER BULKMARKETAI WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.5 Third-Party Marketplace Compliance

You are solely responsible for ensuring that all content published to third-party platforms, marketplaces, or listing sites using the Service complies with those platforms' terms, policies, and guidelines. BulkMarketAI is not affiliated with any third-party marketplace and is not responsible for any penalties, account suspensions, or other consequences resulting from AI-Generated Content published to such platforms.

13. GEOGRAPHIC SCOPE AND INTENDED MARKET

The Service is intended for use by businesses located in the United States. BulkMarketAI makes no representation that the Service is appropriate, available, or compliant with the laws of any jurisdiction outside the United States. If you choose to access or use the Service from outside the United States, you do so entirely at your own risk and are solely responsible for compliance with all applicable local laws and regulations in your jurisdiction. BulkMarketAI disclaims any liability arising from your use of the Service in any jurisdiction where such use is restricted or prohibited by local law.

14. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Escambia County, Florida, and you consent to personal jurisdiction in such courts.

15. CHANGES TO THESE TERMS

BulkMarketAI reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date above. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

16. MISCELLANEOUS

These Terms, together with the Privacy Policy, constitute the entire agreement between you and BulkMarketAI regarding the Service. If any provision is held invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce any right or provision shall not constitute a waiver. You may not assign your rights under these Terms without our prior written consent. BulkMarketAI may assign its rights freely.
